By engaging the services of Xcesslogic, you agree to abide by the following terms and conditions. These terms constitute a legally binding agreement between Xcesslogic and the client for the provision of web application development and other IT support services.
Xcesslogic will provide web application development and IT support services as outlined in the agreed-upon scope of work. The client acknowledges that the services provided may require access to their IT infrastructure and data.
Fees for services rendered by Xcesslogic are non-refundable. Payment terms, including the amount and schedule, will be agreed upon before the commencement of any project. Failure to adhere to the payment schedule may result in the suspension of services.
Prior to engaging Xcesslogic for any project, the client is strongly encouraged to review our extensive portfolio available on our website. Xcesslogic agrees to treat all client information as confidential and to take all necessary precautions to prevent unauthorized disclosure of sensitive information.
Either party may terminate the agreement for services with written notice in case of a material breach by the other party. In such cases, Xcesslogic will be compensated for services rendered up to the termination date.
These terms and conditions are governed by the laws of India, and any disputes will be subject to the exclusive jurisdiction of the courts in India.
Xcesslogic does not guarantee that our web application development and IT support services will meet the customer's expectations or specific requirements. The entire responsibility for the quality and performance of these services lies with the customer. Unless explicitly stated otherwise in this agreement, Xcesslogic provides its services "as is," without any warranty. Both parties acknowledge that the limited warranties outlined in this section are the sole and exclusive warranties offered by each party. Additionally, each party disclaims all other warranties, whether express or implied, including but not limited to the implied warranties of merchantability and fitness for a particular purpose, concerning this agreement, performance, or inability to perform under this agreement, the content, and each party's computing and distribution system. In the event that any provision of this agreement is deemed unlawful, void, or unenforceable, it shall be considered separate from this agreement, not affecting the validity and enforceability of the remaining provisions.
Under no circumstances shall Xcesslogic be liable to the customer for any indirect, special, exemplary, or consequential damages, including any implied warranty of merchantability or fitness for a particular purpose, or implied warranties arising from the course of dealing or course of performance. This includes lost profits, whether foreseeable or allegedly based on breach of warranty, contract, negligence, or strict liability, arising under this agreement, loss of data, or any performance under this agreement. This limitation applies even if Xcesslogic has been advised of the possibility of such damages and notwithstanding the failure of the essential purpose of any limited remedy provided herein. There will be no refunds. Xcesslogic provides no warranty, whether express or implied, concerning any third-party products, third-party content, or any software, equipment, or hardware obtained from third parties.
