Effective Date: October 2026 · Version 2.1
By engaging Xcesslogic Technologies ("Xcesslogic," "we," "us") or executing a Statement of Work (SOW), you agree to be bound by these Terms and Conditions. These terms govern the provision of custom full-stack web application development, spreadsheet-to-web conversions, workflow automation, and senior engineering consulting services.
All engineering engagements are executed pursuant to a mutually agreed Statement of Work, project proposal, or milestone schedule. Each SOW defines project objectives, technical deliverables, milestones, estimated timelines, and commercial terms. Any modifications or additions to project scope must be confirmed in writing through a mutual change order.
We believe clients must retain complete ownership of their digital assets without vendor lock-in:
For Excel-to-Web and spreadsheet modernization projects, the client is responsible for supplying an authoritative baseline workbook and representative test cases. Verification of application logic is conducted through automated regression suites and user acceptance testing (UAT) to confirm mathematical parity with the client's approved calculation specifications.
Project fees and payment schedules are defined in the governing SOW. Payments are tied to verified deliverables or sprint milestones. Invoices are payable upon receipt unless alternative credit terms are agreed in writing. Failure to adhere to milestone payment schedules may lead to temporary suspension of active engineering sprints.
Timely delivery depends on active collaboration. The client agrees to provide necessary documentation, test data, hosting environment access, API keys, and prompt feedback on sprint reviews within agreed review windows. Delays resulting from missing third-party dependencies or delayed client sign-offs may extend target delivery dates proportionally.
Xcesslogic maintains strict confidentiality regarding all non-public technical data, trade secrets, margin calculations, and client operational processes. We commit not to disclose or repurpose confidential client information for any commercial objective outside the authorized engagement.
Xcesslogic provides an agreed post-launch warranty period (typically 30 to 60 days as defined in the SOW) following final production deployment. During this window, our engineering team will remediate any reproducible bugs or functional regressions within the agreed scope at zero additional cost.
Either party may terminate an engagement for cause upon written notice in the event of a material breach that remains uncured for fifteen (15) business days. Upon termination, Xcesslogic will deliver all completed code and work product, and the client will settle fees for all authorized engineering milestones completed up to the date of notice.
Except for willful misconduct or breaches of confidentiality, neither party shall be liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, commercial interruption, or third-party service outages. In all circumstances, Xcesslogic's total aggregate liability arising under an engagement shall be limited to the total fees actually paid by the client under the specific SOW in question.
These terms and conditions are governed by and construed in accordance with the laws of India. Any legal action or dispute arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the competent courts of Gautam Buddha Nagar (Noida), Uttar Pradesh, India.
